Hi — I'm Chinazo, the founder of UXN Design Studio. These terms cover what happens when you hire the studio to build something for you. They're written in plain English so there's no confusion. If anything below is unclear, email hello@uxndesignstudio.comand I'll explain it.
What the studio actually is
UXN Design Studio is a small freelance design and development studio. We build websites, digital products, and care plans for clients, mostly async — meaning the work happens in writing, in one shared project workspace, with short calls only when something genuinely needs one. The studio is based in Johannesburg, South Africa, and accepts clients worldwide.
How a project works
Every project follows the same simple shape:
- You submit a brief describing what you need.
- I send a written quote with a fixed price and scope, usually within one working day.
- If you accept, you pay a deposit (typically 50% of the total).
- I build the work to the agreed scope, sharing progress in your project room.
- You approve the finished work on a staging URL.
- You pay the balance and the work is handed over into your accounts.
Everything important — scope, timeline, revision rounds, what counts as "done" — is written into the quote you accept. That quote, together with these terms, is your contract.
Acceptable use
The project workspace, briefs, quotes and messages are tools provided to help us work together. You agree not to use them to send abusive, harassing, unlawful, or deliberately misleading content, and not to upload material you don't have the right to share. If you do, I may pause or end the project and remove the content.
Intellectual property
Once your final payment clears, you own the delivered work outright— the design files, the code, the content I've written for you, and any accounts (hosting, domain, CMS) registered in your name. You can take it all with you whenever you like.
Portfolio rights.Unless you ask me not to, I keep the right to display the finished work — screenshots, a case study, a link — on the studio website and in pitches to future clients. If you'd like the project kept private, just say so in writing and I'll respect it.
Anything I built before our project (libraries, templates, internal tools) stays mine, and you get a perpetual licence to keep using it as part of the delivered work.
Confidentiality
Anything you share with me about your business, customers, finances, or product plans is treated as confidential. I don't share it with anyone outside the studio without your written permission. The same applies in reverse — anything I share about how the studio operates stays between us.
If your project involves healthcare or financial information, please flag this on the brief. I'll handle it with extra care, limit who can see it, and avoid storing sensitive personal data in tools that aren't appropriate for it.
Liability
I take the work seriously and stand behind it. That said, my total liability to you under a project is capped at the total amount you've paid for that project. Neither side is liable to the other for indirect or consequential damages — things like lost profits, lost data, or reputational harm. Nothing in these terms excludes liability for fraud or for anything that can't legally be excluded.
Termination
Either side can end a project mid-flight. If that happens, the refund policygoverns what's owed and what you keep. The short version: deposits are non-refundable once work has started, but you walk away with everything I've made for you so far.
Governing law
These terms are governed by the laws of the Republic of South Africa. Any dispute that can't be resolved between us in writing will be settled in the courts of Johannesburg. We aim never to need this clause.
Updates to these terms
I may update these terms from time to time — usually because the studio adds a new service or a law changes. The current version always lives at uxndesignstudio.com/terms, and the "Last updated" date at the top tells you when it last changed. If a change materially affects an active project, I'll tell you in writing before it applies to you.
